New Portfolio Managers Regulations add PRIM, a ₹25 lakh route into direct funds

From 1 April 2027 a portfolio manager can offer PRIM, which invests only in direct plans of mutual funds, index funds, ETFs and SIFs. The minimum is ₹25 lakh per client; an ordinary PMS stays at ₹50 lakh.

SEBI’s board said in September the fixed fee would be capped at 1% of the client’s assets, with performance fees allowed; the notified regulations leave the fee terms to a later SEBI circular.

SEBI board approves new PMS rules, including PRIM

PRIM managers may invest only in direct plans of mutual funds, ETFs, index funds and SIFs, from ₹25 lakh, with the fixed fee capped at 1% of assets and performance fees allowed. Ordinary PMS gets IPOs, up to 10% in unlisted investment-grade debt, derivatives up to 1.25 times assets and foreign securities under LRS.

Advisers who distribute funds must keep those clients separate from PRIM clients, except accredited investors. The notified regulations followed on 12 October.

Accredited investor status on ₹5 crore of market holdings

Individuals, HUFs and family trusts can be accredited on at least ₹5 crore of securities market exposure; companies and other trusts need ₹20 crore. AIF managers, SIF fund houses and PMS firms can accredit investors themselves, valid for 3 years. Non-residents count as accredited.

Accredited status opens products with lower minimums and lighter rules, and fewer investor protections. These are board approvals; the amended rules and circular are still to come.

  • SEBIREITsInvITs

REIT and InvIT votes now count votes cast

Some unitholder approvals move from 75% of all units to 75% of votes cast, and only holders who vote against count as dissenting. Depository receipts on REIT and InvIT units are allowed, first in GIFT City.

In a sponsor change, a unitholder who doesn’t vote no longer gets the exit option; only a vote against does.
